Terms of Service for POS Bros

Pos Bros provides a hospitality management system comprising:

• Cloud-based web software
• Mobile applications
• Ancillary deployment and integration services
• The facilitation of third-party hardware sales and EFTPOS integrations

The software is provided as Software-as-a-Service (SaaS).

Where you are granted access to the Services as part of a pilot or beta programme, you acknowledge that:

• The Services may contain errors or limitations
• Features may change or be discontinued
• Availability and performance are not guaranteed

Pilot services may be withdrawn at any time without liability.

Pos Bros supports the interface between the POS software and third-party EFTPOS systems.

We are not responsible for:

• Bank settlement delays
• EFTPOS provider outages
• Network or ISP failures

• SaaS fees are billed in advance.
• Hardware must be paid for prior to dispatch unless otherwise agreed.
• Prices may change with at least 30 days’ notice.
• Software fees are non-refundable except where required by law.

You are responsible for:

• Maintaining the confidentiality of login credentials
• All activities conducted under your account
• Ensuring staff access is appropriate and revoked when no longer required

All intellectual property rights in the Services remain the property of Pos Bros.

Any feedback or suggestions you provide may be used by Pos Bros without restriction or compensation.

The Services are provided “as is” and “as available”, to the maximum extent permitted by New Zealand law.

We do not warrant uninterrupted or error-free operation.

Nothing in these Terms excludes rights that cannot be excluded under law.

To the maximum extent permitted by law:

• Pos Bros is not liable for indirect, consequential, or economic loss.
• Our total liability is limited to the fees paid by you in the 6 months prior to the event giving rise to the claim.
• This clause does not apply where liability cannot be lawfully excluded.

We may suspend or terminate access for non-payment, misuse, security risk, or breach.

You may terminate by giving written notice.

On termination, access will cease and data will be handled in accordance with our Privacy Policy.

Where you acquire the Services for business purposes, the parties agree to contract out of the Consumer Guarantees Act 1993 to the extent permitted by law.

We may update these Terms from time to time. Changes take effect when published on our website. Continued use of the Services indicates acceptance.

These Terms are governed by the laws of New Zealand. The courts of New Zealand have exclusive jurisdiction.
